Terms and Condition

1. Acceptance of Terms
By accessing and using the Minsk Talents platform (“Platform”), you agree to be bound by these Terms & Conditions (“Terms”). If you are using the Platform on behalf of a company, you represent you have the authority to bind that entity.

2. Definitions

  • “Platform”: The Minsk Talents marketplace at www.minsktalents.com.
  • “Client”: A business entity posting projects and hiring Experts.
  • “Expert”: An Odoo specialist invited, vetted, and approved by Minsk Talants to offer services.
  • “Services”: The freelancing and matching services provided by the Platform.
  • “Project”: An engagement between a Client and an Expert facilitated via the Platform.

3. Platform Role
Minsk Talents is a managed marketplace that connects Clients with pre-vetted Experts. We are not a party to the Service Contract between Client and Expert. We do not employ Experts. We facilitate discovery, vetting, contracting, payment escrow (via milestones), and dispute resolution. Clients are solely responsible for evaluating, selecting, and managing Experts.

4. Client Obligations

  • Provide accurate, complete project descriptions.
  • Be responsible for the classification of Experts as independent contractors.
  • Use the Platform for lawful purposes only.
  • Pay for services through the Platform’s milestone payment system.
  • Comply with all applicable Egyptian laws and regulations.

5. Expert Obligations (For Invited Members)

  • Provide services with professionalism, skill, and in accordance with the project agreement.
  • Maintain the confidentiality of Client information.
  • Be solely responsible for their own taxes, insurance, and legal compliance as a freelance entity in Egypt.
  • Not circumvent the Platform’s payment system.

6. Fees & Payments

  • Client Fee: 5% of the total project value, added to the milestone payments.
  • Expert Fee: 15% of earnings, deducted before payout.
  • All payments are facilitated through the Platform. Milestone payments are held in escrow until Client approval.
  • All fees are exclusive of any applicable Egyptian Value Added Tax (VAT) or other taxes, which shall be added where required by law.

7. Intellectual Property
Upon full payment, the Client typically owns the deliverables as per the specific Service Contract. Background IP of each party remains their property. Minsk Talents retains all rights to the Platform, its content, and branding.

8. Disclaimers & Limitation of Liability

  • The Platform is provided “as is.” We do not guarantee uninterrupted or error-free service.
  • We are not liable for the acts, errors, or deliverables of Experts.
  • Our total liability is limited to the total fees we earned from the specific project giving rise to the claim.
  • We do not warrant the accuracy of Expert profiles, though we vet them rigorously.

9. Dispute Resolution

  • Primary: Clients and Experts must attempt to resolve disputes directly.
  • Escalation: Unresolved disputes can be escalated to Minsk Talents support for mediation.
  • Governing Law: These Terms are governed by the laws of the Arab Republic of Egypt.
  • Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts of Cairo, Egypt.

10. Termination
We may suspend or terminate your access for breach of these Terms, illegal activity, or fraud.

11. General
These Terms constitute the entire agreement. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a right is not a waiver.
